outfra.ai is operated by Quant-H2 LLC, a California limited liability company ("we", "us", "Quant-H2"), with principal operations in San Diego, California. By using this site or creating an account, you agree to these terms. Governing law is California (see Dispute resolution).
Eligibility & where this is offered
You must be at least 18 years old to create an account. outfra.ai is intended for users located in the United States and Canada. We may restrict, suspend, or deny access to users outside that region, and we may change or narrow the regions we serve at any time.
Accounts & alpha access
You can create an account with Google, GitHub, or email and password. You're responsible for keeping your credentials secure and for activity that happens under your account. Alpha access to the workbench is granted at our discretion, may be limited, changed, or revoked at any time, and is provided without any service-level commitment — it's an early, in-development feature, not a finished product.
We may suspend or terminate any account that violates these terms, misuses the alpha program, or poses a security risk to the site or other users.
Acceptable use
You agree not to:
- Use the site or your account for anything illegal, or to infringe anyone else's rights;
- Attempt to reverse-engineer, decompile, or extract the source of the site, workbench, or underlying design/simulation tools, except as the LICENSE expressly allows;
- Scrape, crawl, or systematically extract data from the site or workbench outside normal use;
- Probe, test, or attempt to bypass the security of the site, the account system, or the alpha gate without our prior written authorization;
- Impersonate another person, or misrepresent your affiliation with us or anyone else;
- Interfere with or disrupt the site's operation for other users.
We may suspend or terminate access for anyone who violates this section.
Run requests
Anything you send via a run request or by email — a use-case spec, a workload, a power budget — is sent at your discretion. We may use it to prepare a reference design and to reply to you. Submitting a request does not create an obligation on either side; any engagement, pricing, and deliverables are set out separately in a written agreement.
Intellectual property
The Software, including this site, the workbench, its text, design, and all associated materials, is the proprietary and confidential property of Quant-H2 LLC. No license to use, copy, modify, or distribute it is granted except as expressly authorized in writing. See the repository LICENSE for the full terms governing the underlying code.
If you submit a use-case spec, build configuration, or other content through a run request or the workbench, you're not transferring ownership of it to us, and we're not transferring ownership of any reference design we produce to you, unless we agree otherwise in writing. We may use what you submit to prepare and respond to your request.
Fees, refunds, and future purchases
Alpha access to the site and workbench is currently free. There is no paid subscription on this site today, so there are no software subscription refunds to process for alpha access.
If you later purchase hardware or paid software through outfra.ai or a linked checkout:
- Software / SaaS — unless a checkout page says otherwise, fees are non-refundable once access is provisioned, except where California or other applicable law requires a refund, or where we cancel the service without providing a reasonably equivalent substitute.
- Hardware — returns, shipping, and warranty will be stated on the order or purchase terms shown before you pay. Custom or made-to-order builds may be non-returnable except for defect or nonconformity as stated in those purchase terms.
- Chargebacks — contact us first at [email protected] so we can resolve billing issues. Unfounded chargebacks may result in account suspension.
Nothing in these terms is a warranty or guarantee about a future product's price, availability, specifications, or certification status.
Disclaimers
This site and the workbench are provided as-is and as-available, without warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Specs, renders, thermal figures, and BOM data shown here are preliminary, illustrative, and may change. Any hardware referenced on this site is in development and has not completed formal safety or regulatory certification (such as UL or FCC); nothing here should be relied on as a certified product spec. We make no warranty as to availability, accuracy, or fitness for any particular purpose, and may change anything on this site or in the workbench at any time.
Limitation of liability
To the maximum extent permitted by law, Quant-H2 LLC and its owners, employees, and contractors are not liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of this site or the workbench, even if advised of the possibility. To the extent any liability isn't excluded, our total liability to you for all claims arising from these terms or your use of the site is limited to $100 or the amount you've paid us in the past 12 months, whichever is greater.
Indemnification
You agree to indemnify and hold Quant-H2 LLC harmless from any claim, loss, or damages, including reasonable legal fees, arising from your violation of these terms or your misuse of the site or workbench.
Dispute resolution and arbitration
Please read this section carefully. It affects your legal rights.
Informal resolution first. Before filing a claim, email [email protected] with a short description of the dispute and the relief you seek. We will try to resolve it informally within 30 days.
You and Quant-H2 LLC agree to resolve any dispute arising from these terms or your use of the site through binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court if it qualifies, or seek injunctive relief in court to protect intellectual property or account security. Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Rules if Consumer Rules do not apply), seated in San Diego County, California, unless you and we agree on another location or on documents-only arbitration. You and we each waive the right to a jury trial and to participate in a class, collective, or representative action. Arbitration is individual only.
You may opt out of this arbitration agreement by emailing [email protected] with your name and a clear statement that you opt out, within 30 days of first creating an account. If you opt out, disputes will be resolved in the state or federal courts located in San Diego County, California, and both parties consent to that venue and jurisdiction.
These terms, and any dispute not subject to arbitration, are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Quant-H2 LLC is a California LLC. Delaware formation is not used for this product today.
Termination
You can stop using the site or delete your account at any time. We may suspend or terminate your access at any time, with or without notice, for any violation of these terms or for any other reason, including discontinuing the alpha program or the site itself.
Changes to these terms
We may update these terms from time to time. If we make a material change, we'll update the date at the top of this page; continuing to use the site after a change means you accept the updated terms.
Severability & entire agreement
If any part of these terms is found unenforceable, the rest remains in effect. These terms, together with the Privacy Policy and the LICENSE, are the entire agreement between you and Quant-H2 LLC regarding the site, unless you have a separate signed agreement with us that says otherwise.
